Introduction
These Sales Conditions (“Terms”) govern all sales of cocoa products by Cococam Processing Limited Cameroon (“Cococam,” “we,” “our,” or “us”) to our customers (“Buyer,” “you,” or “your”). By placing an order with Cococam, you agree to be bound by these Terms.
Product Offerings
Cococam offers a range of cocoa products, including but not limited to:
- Cocoa Beans
- Cocoa Mass
- Cocoa Butter
- Cocoa Powder
- Cocoa Cakes
Product specifications, including quality standards, are provided upon request and are subject to change based on market conditions and regulatory requirements.
Orders and Acceptance
- Order Placement: All orders must be submitted in writing and include product type, quantity, delivery terms, and desired delivery date.
- Order Confirmation: Orders are subject to acceptance by Cococam. A binding contract is formed only upon issuance of a written order confirmation by Cococam.
- Modifications: Any changes to orders must be agreed upon in writing by both parties.
Pricing and Payment
- Pricing: Prices are quoted in Central African CFA francs (XAF) and are based on current market rates, including applicable taxes and duties, in accordance with Cameroonian law.
- Payment Terms: Unless otherwise agreed, payment is due within 30 days from the date of invoice. Late payments may incur interest charges as permitted by law.
- Taxes and Duties: Buyers are responsible for all applicable taxes, customs duties, and other charges related to the purchase and delivery of products.
Delivery and Risk of Loss
- Delivery Terms: Delivery terms are specified in the order confirmation and are based on Incoterms 2020.
- Risk of Loss: Risk of loss or damage to the products passes to the Buyer upon delivery as defined by the applicable Incoterm.
- Delivery Delays: Cococam is not liable for delays in delivery due to causes beyond our reasonable control, including but not limited to acts of God, government actions, labor disputes, or transportation disruptions.
Quality Assurance
All products supplied by Cococam comply with the quality standards set forth by the National Cocoa and Coffee Board (NCCB) of Cameroon. Certificates of analysis and other relevant documentation are available upon request.

Inspection and Claims
- Inspection: Buyers must inspect products upon receipt and notify Cococam in writing of any claims for shortages, defects, or non-conformities within 7 days of delivery.
- Claims: Failure to notify Cococam within the specified period constitutes acceptance of the products and waives any claims.
Compliance with Laws
Both parties agree to comply with all applicable laws and regulations, including but not limited to:
- Law No. 95/11 of July 27, 1995: Governing the organization of the cocoa and coffee trade in Cameroon.
- Law No. 2024/017 on Personal Data Protection: Ensuring the protection of personal data in commercial transactions.
Limitation of Liability
Cococam’s liability for any claim arising out of or relating to these Terms is limited to the purchase price of the products in question. Cococam is not liable for any indirect, incidental, or consequential damages.
Force Majeure
Cococam is not liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to natural disasters, acts of government, labor disputes, or transportation disruptions.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Cameroon. Any disputes arising under these Terms shall be resolved through amicable negotiations. If unresolved, disputes shall be submitted to the competent courts of Douala, Cameroon.
Amendments
ococam reserves the right to amend these Terms at any time. Amendments will be communicated in writing and will apply to all orders placed after the effective date of the amendment.
